1. Subscription-Based License Terms and Conditions

1.1

MusicGenAI.net provides music licensing services through a subscription model. This License Agreement (hereinafter referred to as the "Agreement") establishes the terms and conditions for using the subscription services provided by MusicGenAI.net.

1.2 Acceptance

By accepting the terms of this Agreement, you expressly acknowledge that you are bound by the terms of this Agreement as well as the General Terms, Cookie Policy, and Privacy Policy provided on the MusicGenAI.net official website. You further acknowledge that you have reached the legal age and possess the necessary authority required to enter into this Agreement. If you are acting on behalf of an employer or organization, you confirm that you have the legal capacity to bind that entity to comply with the terms of this Agreement, and "you" herein refers to both yourself and the entity you represent.

2. Key Terms Definition

2.1

"Generated Content": Refers to any music, audio, or other creative works generated through the use of MusicGenAI.net's artificial intelligence tools.

2.2

"Commercial Use": Refers to using Generated Content for economic benefit purposes, including but not limited to selling, licensing, distributing, broadcasting, publishing, or using for advertising or promotional materials.

2.3

"Non-Commercial Use": Refers to strictly using Generated Content for personal purposes without obtaining any direct or indirect economic benefits, such as sharing content on non-profit platforms.

3. License Terms and Subscriber Rights

3.1

For annual subscribers, and subject to your continued compliance with this Agreement, MusicGenAI.net grants you a worldwide, non-exclusive, perpetual, fully paid-up and royalty-free license to use Generated Content created during your annual subscription term for commercial and non-commercial purposes in accordance with this Agreement.

For content created under free or monthly plans, MusicGenAI.net retains ownership and grants you a personal, non-commercial license to download and use such content. For content created during an annual subscription term, and subject to your continued compliance with this Agreement, MusicGenAI.net grants you a worldwide, non-exclusive, perpetual, fully paid-up and royalty-free license to use, reproduce, distribute, publicly perform, communicate, adapt, modify, synchronize, monetize, sub-license and otherwise exploit the content for commercial and non-commercial purposes, and this license will continue to apply to content created during the annual term even after your subscription expires or is cancelled, except where this Agreement is terminated for breach in accordance with Section 6. For the avoidance of doubt, MusicGenAI.net retains ownership of its underlying models, software, datasets, and trademarks, and retains a non-exclusive right to host, cache, process, and transmit Generated Content solely as necessary to operate and provide the services. Annual subscribers may download a Commercial License Certificate for each track.

3.4

Free trial users may only share Generated Content created during the trial period on non-commercial platforms, but must clearly attribute the source: "This content was created by MusicGenAI.net."

3.5 Prohibited Activities:

Users are strictly prohibited from using Generated Content for any illegal, harmful, defamatory, or other activities that violate applicable laws and regulations.

4. Platform Commitments and Representations

4.1

MusicGenAI.net uses third-party and proprietary technologies and takes reasonable measures to ensure it has the rights and authorizations necessary to grant the licenses to Generated Content described in this Agreement.

4.2

MusicGenAI.net designs and operates its services to reduce intellectual property risks in Generated Content and to make such content generally suitable for typical online commercial use. However, your use of the Generated Content remains subject to applicable laws, platform rules and potential third-party rights, and you are responsible for ensuring that your particular use is legally compliant.

4.3

Except as expressly provided in this Agreement, MusicGenAI.net makes no express or implied warranties regarding the applicability, quality, or suitability of Generated Content for specific purposes or applications.

5. Limitation of Liability

5.1

MusicGenAI.net shall not be liable for any losses, damages, or disputes arising from or resulting from user misuse, unauthorized use, or improper handling of Generated Content.

5.2

Users are responsible for ensuring compliance with relevant third-party platform policies, intellectual property regulations, and any other applicable laws when using Generated Content.

6. License Termination and Revocation

6.1

If a user violates any terms in this Agreement, the license granted under this Agreement will be automatically revoked.

6.2

After license termination or revocation, users must immediately cease all use of Generated Content and permanently delete all related files, data, or materials.

7. Supplementary Terms

7.1

All Generated Content is provided "as is," and MusicGenAI.net expressly disclaims any liability arising from use beyond the terms specified in this Agreement.

7.2

MusicGenAI.net reserves the right to modify or change this Agreement at its sole discretion. In case of significant changes, we will promptly notify subscribers through appropriate channels.

7.3

MusicGenAI.net reserves the right to monitor the use of Generated Content and take appropriate measures (including legal prosecution) against any unauthorized use, copyright infringement, or violations of this Agreement.
